Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Exori, including the Exori mobile application, the Bridge companion application, associated relay infrastructure, and related services (collectively, the "Service"), provided by [COMPANY NAME] ("Exori," "we," "us," or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Nature of the Service
Exori is a developer tool that allows you to write, build, and manage source code from a mobile device by connecting to a companion application ("Bridge") running on your own Mac. Bridge may, at your direction or as configured by you:
- Execute shell commands, build tools, and scripts on your Mac
- Read, write, modify, and delete files within your project directories
- Invoke git operations, including commits, pushes, and remote creation
- Access credentials stored in macOS Keychain to authenticate with third-party services (e.g., GitHub, GitLab, Apple, package registries)
- Spawn and communicate with language servers and other local developer tooling
- Route builds through relay infrastructure when off your local network
You are solely responsible for understanding what these operations do before triggering them.
2. Assumption of Risk
YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.
Software development tools that execute code, run builds, and modify files on your machine carry inherent risk of data loss, corrupted files, broken environments, unintended git history changes, unintended pushes to remote repositories, consumption of paid third-party resources (e.g., CI minutes, API credits, cloud costs), and disruption to other software or processes running on your Mac.
By using the Service, you acknowledge and agree that:
- You are responsible for your own backups. Exori is not a backup system. You should maintain independent backups of your code and data (e.g., via git remotes, Time Machine, or other means) before using the Service.
- You are responsible for reviewing actions before they run. Where the Service presents you with a proposed action (a build, a git operation, a scaffold, a file change), you are responsible for confirming it does what you expect before approving it.
- You are responsible for your own environment. The Service assumes your development environment (Xcode, toolchains, SDKs, dependencies, credentials) is already configured correctly. We do not verify, secure, or guarantee the state of your machine.
- You are responsible for credentials and access scopes. Any tokens, keys, or credentials you store in macOS Keychain or otherwise provide to Bridge are used under your authorization. You are responsible for scoping those credentials appropriately and for any consequences of their use.
- Network and relay transmission carries inherent risk. While we design the relay to be end-to-end encrypted, no transmission or storage system can be guaranteed 100% secure.
3. No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Service will be uninterrupted, secure, timely, or error-free
- Builds, scaffolds, or LSP results will be accurate, complete, or free of defects
- Any code, files, or repositories affected by the Service will be preserved without loss or alteration
- Defects will be corrected, or that the Service is free of harmful components
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXORI, ITS OWNERS, EMPLOYEES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, CODE, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WHERE LIABILITY CANNOT BE FULLY DISCLAIMED UNDER APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) [USD $50 / A NOMINAL AMOUNT — SET WITH COUNSEL].
This limitation applies regardless of the legal theory asserted (contract, tort, negligence, strict liability, or otherwise).
5. Third-Party Services
The Service integrates with third-party services (including but not limited to GitHub, GitLab, Apple Developer services, and package registries). We are not responsible for the availability, accuracy, security, or conduct of these third parties. Your use of them is governed by their own terms, and any losses arising from your use of them are your responsibility.
6. Your Responsibilities
You agree to:
- Use the Service only for lawful purposes and only with code and repositories you have the rights to access and modify
- Maintain the security of your device, Bridge pairing, and any credentials used with the Service
- Not use the Service to execute malicious, destructive, or unauthorized code on any system you do not own or have explicit permission to access
- Review generated scaffolds, build outputs, and git operations before relying on or publishing them
7. Indemnification
You agree to indemnify and hold harmless Exori and its owners, employees, and contributors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
8. Changes to the Service and Terms
We may modify, suspend, or discontinue the Service, in whole or in part, at any time without liability. We may update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause. You may stop using the Service at any time.
10. Governing Law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law principles.
